1. Acceptance of Terms

By accessing or using AIQuest’s website and services (“Services”), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our Services. AIQuest reserves the right to modify these terms at any time, and continued use of the Services constitutes acceptance of any changes.

2. Services Description

AIQuest provides enterprise AI consulting, custom AI solution development, and implementation services. Our offerings include but are not limited to:

  • AI strategy consulting and roadmap development
  • Custom AI model development and training
  • AI system integration with existing enterprise infrastructure
  • Ongoing support and optimization of AI solutions

The specific scope, deliverables, and pricing for each engagement will be defined in a separate Statement of Work (SOW) or service agreement.

3. Service Provided “AS IS”

While AIQuest strives to deliver high-quality AI solutions, our Services are provided “as is” without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. AIQuest does not guarantee specific business outcomes, performance metrics, or return on investment from AI implementations.

4. Client Responsibilities

When engaging with AIQuest’s Services, you agree to:

  1. Provide accurate and complete information necessary for project delivery
  2. Maintain the confidentiality of any access credentials or proprietary information shared by AIQuest
  3. Use the Services only for lawful business purposes and in compliance with all applicable laws and regulations
  4. Provide timely feedback, approvals, and resources as outlined in project agreements
  5. Ensure you have appropriate rights to any data or materials you provide to AIQuest

5. Prohibited Uses

You must not:

  • Use our Services for any illegal, harmful, or fraudulent purposes
  • Attempt to reverse engineer, decompile, or extract proprietary algorithms or models developed by AIQuest
  • Resell, redistribute, or sublicense AIQuest’s Services without explicit written permission
  • Use automated systems to scrape, harvest, or collect data from our website
  • Interfere with or disrupt the integrity or performance of our Services

6. Intellectual Property Rights

AIQuest IP

All intellectual property developed by AIQuest prior to or independent of client engagements, including but not limited to proprietary frameworks, methodologies, tools, and pre-existing code, remains the sole property of AIQuest.

Client Data

You retain all rights to your data, business information, and proprietary materials provided to AIQuest. AIQuest will use client data solely for the purpose of delivering Services and will not share it with third parties except as required to deliver Services or as required by law.

Custom Deliverables

Ownership of custom AI models, solutions, and deliverables created specifically for your engagement will be governed by the terms of your service agreement or SOW.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information exchanged during the engagement. This obligation survives termination of Services and continues for a period of three (3) years thereafter.

8. Data Protection and Privacy

AIQuest is committed to protecting your personal and business data. We collect and process information in accordance with applicable data protection laws, including GDPR and CCPA where applicable. For detailed information on how we handle data, please review our Privacy Policy.

When you provide data to AIQuest:

  • We will use it solely for delivering the agreed Services
  • We implement industry-standard security measures to protect your data
  • We may store data on secure cloud infrastructure (e.g., AWS, Google Cloud Platform)
  • We will not sell or share your data with third parties for marketing purposes

9. Limitation of Liability

To the maximum extent permitted by law, AIQuest’s total liability for any claims arising from or related to the Services shall not exceed the fees paid by you for the specific Services giving rise to the claim during the twelve (12) months preceding the claim.

AIQuest shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, even if advised of the possibility of such damages.

10. Third-Party Dependencies

AIQuest’s Services may integrate with or depend on third-party platforms, APIs, or services (e.g., cloud providers, AI model providers, data sources). While we make commercially reasonable efforts to ensure compatibility and availability, AIQuest is not responsible for any disruptions, changes in terms, or discontinuations of third-party services.

11. Termination

Either party may terminate an engagement as specified in the applicable service agreement or SOW. Upon termination:

  • You must pay for all Services rendered up to the termination date
  • AIQuest will return or destroy client data as specified in the agreement
  • Any provisions that by their nature should survive termination (confidentiality, intellectual property, limitation of liability) will remain in effect

12. Governing Law and Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising from these terms or the Services shall be resolved through good faith negotiation. If negotiation fails, disputes shall be subject to the exclusive jurisdiction of the courts in Bangalore, India.
